RESOLVA is assisting Bavarian Nordic with the recruitment of a Legal Counsel Corporate & Commercial.

BN is expanding its Legal Department and is looking for an experienced and dedicated attorney for the position of Legal Counsel Corporate & Commercial to support a growing need for legal support to the company and its global activities.

The key focus of the role is to provide high quality legal and compliance advice in a broad range of corporate and commercial matters, e.g., related to corporate reporting and decision making (annual report / annual general meeting, corporate governance, ESG matters, incentive programs, capital market regulations etc.) and a wide range of commercial contracts (partnership agreements, license agreements, distribution agreements, tender contracts, etc).

AREAS OF RESPONSIBILITY

As Legal Counsel Corporate & Commercial at Bavarian Nordic you can expect to be involved in, and to provide legal and compliance advice within, many different types of matters.

Some of your main responsibilities will include:

  • Corporate matters, where you will provide support on e.g., incentive programs, the annual report, corporate governance reporting, stock exchange regulations, and ESG matters, as well as support on the preparation and conduct of the annual general meeting,
  • Commercial contracts, where you will draft, review, and negotiate a wide range of commercial and other types of contracts, e.g., partnership agreements, license agreements, distribution agreements, wholesaler agreements, tender contracts, service agreements, consultancy agreements, quality agreements, CDA’s, etc.,
  • General legal support to the Commercial function and a few other key functions.

In addition hereto, you will also:

  • conduct due diligence on third parties and ensure that contracts are put in place in line with external and internal requirements, e.g., to comply with anti-corruption laws or ESG standards,
  • develop contract templates, as needed,
  • prepare and conduct training in various company requirements and procedures, covering areas such as stock exchange regulations, contracts, and contract policies,
  • provide other legal support, as required.

 

REPORTING AND COOPERATION

Reporting: You will report to VP, Head of Legal, Christian Vilstrup and have close collaboration with the rest of the Legal Department as well as other internal and external stakeholders.

IDEAL EXPERIENCE:

Education: Master of law degree.

Work experience: Minimum 3-5 years of post-graduate work experience preferably from the pharmaceutical industry or a law firm.

Corp./commercial law: You have a strong experience drafting, reviewing, and negotiating contracts and practical experience with company law and / or stock exchange regulations. 

Pharma industry: Practical experience from the pharma industry either as in-house lawyer or external advisor in a law firm.

International: Experience with working in an international environment and proficiency in English as this is the language in which BN communicates, internally as well as externally.

Communication: Clear communicator with the ability to keep things simple and clear by finding the right balance between being detail oriented and structured.

Commercial mind-set: Sound business judgment with the ability to act fast and pragmatically and to take decisions.

Responsible: Willing to take responsibility, set priorities, structure workflows, juggle multiple demands and meet deadlines. 

Initiative: Comfortable with taking initiative and driving a process.
