DSV – Senior Legal Counsel – Corporate Projects – POSITION FILLED

JOB DESCRIPTION

RESOLVA is assisting DSV with the recruitment of an ambitious and talented lawyer with solid legal skills, experience and interest in M&A as well as corporate / contract law to take on the role as DSV´s Senior Legal Counsel – Corporate Projects.

As Senior Legal Counsel your primary role will be to support and manage legal aspects of DSV’s many small to larger international M&A projects from the first discussions and contracts (NDA and NBO), through due diligence processes, contract drafting and negotiations, to regulatory approvals (merger clearance / FDI filings), closing and post-closing activities. It is therefore critical that you have solid experience with and interest in all parts of M&A processes.

In addition to M&A work the role will entail other commercial legal assignments including corporate work and the review, drafting and negotiation of various international contracts as well as other legal advice to DSV´s organization within the area of corporate and commercial law.

You are good at driving a process and you have a hands-on attitude as well as a good sense of urgency and time management. You must have a strong business acumen and enjoy working as part of a team, and your excellent communication and stakeholder management skills will be needed on a daily basis.

AREAS OF RESPONSIBILITY

Legal management of M&A projects:

  • Legal management of small to larger (mostly international) M&A projects, including the drafting and negotiating of a wide range of transaction related documents (NDAs, NBOs, SPAs, SHAs, TSAs etc.) covering all phases and aspects of M&A projects.
  • Support regulatory matters related to M&A processes, e.g. obtaining regulatory approvals (competition and FDI approvals), and handling corporate regulatory issues, e.g. related to MAR and other corporate regulations.
  • Provision of advice and support to DSV’s other dedicated Group M&A team members as well as other parts of the DSV organization in relation to M&A projects.

Corporate commercial support

  • Corporate and commercial work with the rest of DSV’s Group Legal team, e.g. in relation to reviewing, drafting and negotiating various international contracts and supporting DSV´s organization with legal advice within the area of contract law, commercial law and legal compliance matters.
  • Provision of commercially sound legal advice to DSV´s organization in Denmark and internationally regarding various projects and contract types.

IDEAL EXPERINCE

Education: A master’s degree in laws (cand.jur. or cand.merc.jur. or international equivalent).

M&A: Extensive work experience with all aspects of international M&A transactions, including experience with drafting and negotiating international transaction agreements, (e.g. share/asset purchase agreements, shareholder agreements, JV-agreements).

Legal fields: Preferably good knowledge of corporate and commercial law, competition law, MAR-rules as well as the process around regulatory approvals (competition and FDI approvals).

Work experience: A minimum of 6-7 years of post-graduate experience preferably from a law firm with international clients and/or in-house role with a multinational company.

Business acumen: A strong business acumen that enables you to make clever legal choices and prioritizations, and a strong sense of driving for results and project progress.

Language skills: Strong English language skills and substantial experience with legal English.
