RESOLVA is assisting Nature Energy with the recruitment of a talented and ambitious lawyer with solid legal skills and experience with international contracts and general corporate and commercial law, to take on a role as Senior Legal Counsel, supporting Nature Energy’s European activities together with the legal team.
In this role, you will need to have 4-5 years post-graduation experience, and you will primarily be assisting with corporate and commercial law, such as contract law, general corporate law, IP law, lease and property laws, and with greenfield and brownfield projects, and you will have a desire to further develop your competencies within these disciplines.
You will be reviewing, drafting and negotiating various biomass contracts, responding to ad-hoc requests related to activities in the operational phase of the biogas plants and assisting on a broad range of European projects, including greenfield and brownfield projects and different R&D projects related to, inter alia, hydrogen and Power-to-X. You will primarily be working independently, however, in larger projects you will be working in cooperation with other members of the legal team as well as external legal counsels. In undertaking the various tasks, you will interact with a wide number of stakeholders across Nature Energy’s organisation.
As Senior Legal Counsel, you will be reporting to Legal Director, Vicki Bek, who is responsible for the legal workstreams which relate to corporate and commercial matters and projects (other than EPC projects) within the European market. Vicki’s team is based in Odense.
AREAS OF RESPONSIBILITY:
You will be responsible for:
- Advising on general corporate law, including drafting various corporate documents and ensuring corporate governance (including at project company level).
- Drafting, negotiation and advising on a wide range of commercial contracts, such as sales and service agreements, procurement agreements, lease agreements, service level agreements and operation and maintenance agreements, supplier and joint venture agreements and other complex agreements related to third-party collaboration.
- Assisting on a variety of greenfield and brownfield projects, including drafting and negotiating various agreements (such as collaboration and shareholders’ agreements, shares or assets purchase agreements and none-disclosure and exclusivity agreements), coordinating with external legal counsels in different jurisdictions and assisting with other project work related thereto.
- Assisting with the designing and further developing of template agreements within the relevant legal areas.
- Supporting on various regulatory matters.
- Handling of disputes, typically in conjunction with external advisers.
- Generally, providing commercially oriented legal advice to Nature Energy’s organisation in Europe, regarding various projects and contract types.
IDEAL EXPERIENCE AND CAPABILITIES:
Education: You have a Danish law degree (cand.jur. or cand.merc.jur.).
Work experience: You have 4-5 years post-graduation experience from working as a lawyer in a law firm (preferably with focus on corporate and commercial law and greenfield and/or brownfield projects) and/or as inhouse corporate counsel in a larger organisation.
Contracts, commercial law, greenfield and brownfield projects: You have experience with and interest in advising within a broad range of legal areas, including general corporate law, and in negotiating and drafting a variety of commercial contracts. Furthermore, you may have experience with working on greenfield and brownfield projects (maybe related to the energy industry).
Stakeholder management: You have the ability to influence and build relationships at all levels in the organisation.
Language skills: You are fluent in English (both written and spoken). As Nature Energy has increased activities in France, proficiency in French is an advantage.
