NTG – LEGAL COUNSEL – M&A / SPECIAL PROJECTS – POSITION FILLED

JOB DESCRIPTION

NTG is looking for an ambitious and talented lawyer with strong legal skills, experience, and interest in M&A, corporate law and capital market law to take on the role as Legal Counsel.

As Legal Counsel – M&A/Special Projects you will mainly be engaged in M&A and corporate law with direct report to Executive Vice President Peter Grubert who is part of NTG’s Group Management team and leads projects within M&A and the Group’s co-ownership structure.

Further, you will have a unique opportunity to expand your non-legal skills and knowledge through interaction with colleagues with different nationalities and professional backgrounds. In the position you will also have substantial exposure to group management, local management teams, and other key executive, administrative, and commercial functions in NTG.

LEGAL TEAM

The organization of NTG is extremely flat and cooperation happens directly between employees. However, your work will be carried out most closely in cooperation with EVP Peter Grubert but you will also have tasks where you cooperate with NTG’s dedicated Group Legal department consisting of 6 FTEs headquartered in Hvidovre as well as all other employees of NTG.

AREAS OF RESPONSIBILITY

NTG is looking for a person who by nature takes ownership and has a strong drive and commercial mindset that enables an independent and business focused support to the NTG organization. You must be open and eager to learn and have a strong ability to influence and build relationships at all levels of the NTG organisation.

Your areas of responsibility will include:

  • Handling all legal aspects of M&A processes from the strategic and practical preparation and structuring of transactions, through drafting and negotiation of documentation (NDAs, SPAs, TSAs etc.) and to integration efforts and engaging with the NTG organization in relation to various phases of M&A processes.  
  • Drafting and negotiation of a wide range of (typically) international ancillary contracts in preparation of and as part of executing and implementing M&A processes and in relation to general development of the NTG Group.
  • Advising on and managing corporate law in respect to M&A transactions as well as ongoing corporate structuring work.

IDEAL EXPERIENCE

Education: A Master of Laws (cand.jur.) or a Master of Science (MSc) in Business Administration and Commercial Law (cand.merc.jur.).

Work experience: A minimum of 2 years of experience from a law firm, possibly combined with in-house legal role in a larger corporation.

Legal areas of specialisation: An interest in, passion for and some experience with M&A, corporate law and capital market law.   

Commercial: Strong commercial mindset enabling you to balance legal requirements with the commercial drivers and goal of the business.

Language skills: The ability to communicate with stakeholders at all levels in NTG’s organisation in a clear and concise manner in both Danish and English.
