INVISIO – CORPORATE LEGAL COUNSEL

ROLE DESCRIPTION

INVISIO is looking for a commercially minded and pragmatic Corporate Legal Counsel to support its global business. This is a broad legal generalist role with a strong commercial focus, where you will work closely with the business and provide legal support across a wide range of matters, with particular emphasis on international contracts, tenders, customer projects and other commercial legal matters.

As Corporate Legal Counsel, you will become part of a small legal team together with Signe Karstoft, Legal Director, to whom you will report. The role is based at INVISIO’s headquarters in Hvidovre, and the legal function is organisationally anchored within INVISIO’s Sales & Program function, which consists of approximately 50 employees globally, including around 25-30 in Denmark. You will primarily support the global sales organisation and work closely with colleagues across the business. Much of your work will involve large and complex customer contracts, tenders and projects.

You will provide legal support across INVISIO’s international business, including in relation to US contracts, such as contracts within the defence sector, and support sales teams across Europe and other markets. You will also support INVISIO in connection with major public tenders, including tenders involving ministries and defence organisations, providing legal support on contractual and other legal questions arising throughout the tender process.

As a technology company, intellectual property is an important part of INVISIO’s business. While dedicated specialists handle areas such as patents, you may also advise on IP-related matters as part of the broader commercial legal support. Experience with IP or from a technology or other IP-intensive business would therefore be an advantage.

In addition to the day-to-day legal support, you will contribute to developing and improving the way Legal supports the business. This includes driving legal improvement initiatives, maintaining and developing contract templates and legal guidelines, and conducting workshops and awareness activities for the business.

The role is highly international and outward-facing, with significant interaction with customers and stakeholders at all levels. You will have opportunities to join customer visits and negotiate contracts abroad, as well as participate in trade fairs in Denmark, Europe and the US.

The role is expected to involve approximately 25 travel days per year.

AREAS OF RESPONSIBILITY

INVISIO is looking for an independent and commercially minded lawyer who takes ownership and enjoys working closely with customers and colleagues across the organisation. Your key responsibilities will include:

Commercial contracts and negotiations:

  • Draft, review and negotiate a broad range of commercial contracts, including large international sales contracts, non-disclosure agreements, letters of intent, consulting agreements, tender-related contracts and distribution agreements.

  • Take an active role in customer dialogue and contract negotiations and provide commercially focused legal advice, working closely with relevant stakeholders to balance legal considerations with commercial objectives.

  • Provide pragmatic legal advice on contractual and other commercial matters arising in the day-to-day business.


      Tenders and customer projects:

      • Provide legal support in connection with major public tenders, including reviewing tender documentation and advising on contractual and other legal questions arising throughout the tender process.

      • Advise on legal and contractual aspects of tender structures, including which INVISIO entity should participate and any related intercompany arrangements.

      • Support and, where relevant, take a coordinating role in customer projects and other commercial initiatives, including advising on contractual set-ups, priorities and how existing solutions can be applied in different markets etc.


      IP and export control:

      • Ad hoc Advise on IP and export control matters, including IP considerations in commercial agreements and questions relating to export restrictions and requirements in connection with international sales and customer projects.


      Legal development and business support:

      • Develop, maintain and improve contract templates, legal guidelines and other tools.

      • Drive legal improvement initiatives and conduct workshops and legal awareness activities for the business, for example in relation to NDA’s.

      • Provide ad hoc legal advice and support across INVISIO as required.

      REPORTING AND TITLE

      Reporting to: Signe Karstoft, Legal Director.

      Title: Corporate Legal Counsel.

      IDEAL EXPERIENCE

      Education: You hold a master’s degree in law (cand.jur. or cand.merc.jur.).

      Work experience: You have approximately 3-6 years of relevant legal experience from an in-house role, for example in a technology or software company or another larger international industrial company.

      Legal areas of specialisation: You have strong experience in drafting, reviewing and negotiating commercial agreements and are comfortable handling contractual matters independently. You also have experience supporting tender processes and advising on the legal and contractual matters that arise in this context.

      In addition, you have a broad legal profile and are able to navigate a varied range of legal matters. Experience with IP-related matters, particularly from a technology or other IP-intensive business, would be an advantage. Knowledge of export control would also be beneficial.

      Commercial: You have a strong commercial mindset and understand how legal advice fits into the broader business context.

      You have experience working directly with customers and are comfortable collaborating with colleagues at all levels of the organisation. You are able to balance legal considerations with commercial objectives and provide pragmatic, solution-oriented advice.

      Language skills: You are fluent in Danish and English, both written and verbal.
