IFDK – Corporate Legal Counsel

ROLE DESCRIPTION

Impact Fund Denmark (IFDK) earlier known as IFU – the Investment Fund for Developing Countries – is seeking a proactive and pragmatic Corporate Legal Counsel who delivers clear solution-oriented advice and takes ownership of key legal and compliance areas. The role is suited to a candidate who enjoys responsibility, works hands-on, and is motivated by building structure and driving progress in a developing organisation.

As part of a team covering all corporate legal areas relevant to IFDK, you will play a central role in company law, fund-related requirements, and corporate housekeeping, while also supporting the business with other day-to-day legal matters and contributing to legal strategic initiatives. The role involves providing pragmatic legal advice across corporate governance and risk management, ensuring timely and high-quality legal support as the organisation continues to grow and navigate increasingly complex legal requirements.

You will be based at IFDK’s new headquarters in Nordhavn, featuring modern and attractive office facilities and conveniently located close to both metro and S-train stations. Approximately 150 colleagues are based at the Nordhavn headquarters.

LEGAL TEAM

As Corporate Legal Counsel, you will be a key member of IFDK’s Legal Corporate team, which plays a central role in supporting the organisation’s legal foundations. Legal Corporate currently consists of two legal professionals and an executive assistant (board support).

The Legal function is part of Legal, Compliance and Commercial (LCC), which comprises four specialised teams: Legal Corporate, Legal Transactions, Compliance (Non-Financial Risk), and Sales and Investor Relations. All four teams report to Frederik Bjørn, General Counsel and CCO. The LCC function consists of 15 employees in total. Most colleagues are based in Copenhagen, while three colleagues in the Legal Transactions team are based in Nairobi and New Delhi.

You will work closely with experienced colleagues and have responsibility for key legal areas from day one. Over the past year, LCC has undergone significant organisational development, enhancing both capacity and expertise. This development supports the management of an expanding portfolio and addresses increasing legal, regulatory, compliance and risk management requirements. In 2026, LCC will grow further and additional positions will be added to support this development.

AREAS OF RESPONSIBILITY

In close cooperation with the other team members in Legal Corporate, you will take on responsibility for legal assistance and advice related to:

  • Company law matters, including corporate governance and corporate housekeeping for legal entities owned or managed by IFDK, as well as for the investment funds managed by IFDK and entities related to IFDK’s regional offices, 
  • Support fund-related legal requirements and documentation, including fund formation, investor documentation, and ongoing governance and regulatory compliance,
  • Develop, implement, and continuously improve legal and compliance processes across a broad range of legal areas, 
  • Support and advise on IFDK’s general operations and legal agreements, such as investment mandates, investment agreements and guarantees issued to IFDK by the Ministry of Foreign Affairs,
  • Provide legal advice on commercial, regulatory, and procurement matters across the organisation, including compliance with EU public procurement rules in connection with IFDK’s acquisition of systems and services etc., 
  • Provide various ad hoc legal assistance to IFDK’s group functions, including advice on governance and board-related matters, 
  • Maintenance and development of internal policy documents of legal nature and drafting of internal memos related to the legal requirements for IFDK’s operation, 
  • Planning and conduct of internal education and on-boarding of the general IFDK organisation to corporate legal related matters. 

REPORTING AND TITLE

Reporting to: General Counsel & CCO, Frederik Bjørn.

Title: Corporate Legal Counsel.

IDEAL EXPERIENCE

Education: You are a Danish qualified lawyer (cand.jur. or cand.merc.jur.) and possibly also licensed to practice as attorney-at-law (“advokat”).  

Work experience: You have a minimum of 5 years of post-graduation experience as a lawyer at a leading law firm. Experience within banking, life and pension, asset management, private equity or similar areas would be considered an advantage but is not a requirement.

Legal skills: You have solid experience working as a legal advisor within company law and corporate governance. Preferably, you also have experience in corporate and contract law, while experience in privacy and/or procurement law is considered an advantage.

You have excellent legal analytical skills with the ability to apply relevant laws, regulations, and compliance frameworks accurately to a given matter and you appreciate the importance of a thorough, detail-oriented, and structured approach to your work.

Stakeholder management: You have excellent skills in interacting and building relationships with internal and external stakeholders at all levels, including at senior executive level. You constructively balance legal and commercial interests and are comfortable challenging processes and decisions that pose compliance risks.

International: You have an international outlook and ideally also have experience from working in an international environment.

Language skills: You are fluent in Danish and English (both written and verbal).
