NORDIC SOLAR – LEGAL MANAGER – EPC & OPERATIONS

JOB DESCRIPTION

Nordic Solar is a growing and highly successful solar PV company looking for a talented Legal Manager with practical experience and/or interest within construction law, EPC (both turn-key and individual contracts related to engineering, procurement, and construction) contracts and projects as well as operation and maintenance contracts, who wants to be part of a dynamic and fast-growing business working towards a greener future. You will join a team of ambitious and supportive lawyers who are dedicated to delivering high-end legal advice and presenting pragmatic and business-oriented solutions.

As part of the legal team at Nordic Solar, you will be working closely with Senior Legal Manager, Sanaz R. Petersen, who is responsible for legal matters related to construction and operational contracts (including EPC related contracts and projects), supporting Nordic Solar in the activities related to the construction, grid connection and operation of solar and battery projects.

In this role as Legal Manager – EPC & Operations, you will also be working closely with the EPC & Operations team. You will be focusing on drafting and negotiating EPC contracts (including contracts associated with the management and operation of solar projects), advising about all aspects of EPC contracts, including responding to ongoing questions with respect to management and interpretation of contracts, and handling claims and disputes related to construction, procurement, and operational matters.

The work will in addition to your legal skillset require practical and commercial skills as the legal managers at Nordic Solar play a key role as trusted advisors and team members in relation to all activities and projects.

You will occasionally have the opportunity to visit the solar farms around Europe, but the role does not as such involve regular travelling activities.

LEGAL TEAM

Nordic Solar’s legal team currently consists of 8 legal managers (with different seniority levels), a senior manager who handles corporate legal affairs, a senior compliance manager and 3 document controllers in addition to the Chief Legal Officer, Tim Gadatsch, and Legal Director Christina Andersen.

From providing legal advice to getting involved in almost every legal aspect of the solar park projects, the legal team plays a vital role in all phases of the life cycle of Nordic Solar’s solar projects. The legal team is responsible for all legal questions arising out of the acquisition, development, construction, financing, operation, and divestments of the solar farms owned by Nordic Solar. Moreover, the team handles all other legal questions arising in connection with Nordic Solar’s activities.

AREAS OF RESPONSIBILITY

As Legal Manager – EPC & Operations, you will among others be handling the following tasks:

  • Working closely with the EPC and Operations team on various construction projects and contracts, including preparing, reviewing, negotiating, and drafting EPC contracts (including international construction contracts such as FIDIC based contracts), and related contracts relevant to the EPC (construction) project phase and operation of PV plants, such as EPC management contracts, operation and maintenance contracts, grid connection contracts, power purchase agreements etc.
  • Ensuring that EPC contracts are in compliance with applicable legislation and supporting on regulatory matters related to construction and operation of PV plants.
  • Providing legal support to the management and other departments in relation to legal risks, claims (including warranty claims) and disputes related to EPC activities and contracts.
  • Reviewing, negotiating, and drafting procurement contracts in relation to Nordic Solar’s purchase of equipment for the PV plants, and advising on the planning and execution of tender processes.
  • Managing stakeholders and contact with external legal advisers and consultants (engaged to assist on matters related to the EPC and operations), and relevant authorities in Denmark and abroad.
  • Preparing, updating, and improving contract templates related to the EPC and Operations contracts.

REPORTING AND TITLE

Reporting to: Director, Legal, Christina Andersen

Title: Legal Manager

IDEAL EXPERIENCE

Education: You have a Master of Laws (cand.jur. or cand.merc.jur.) from Denmark or another EU country and possibly also license to practice as attorney-at-law from a reputable law firm.

Legal areas: You have 1 – 5 years of experience from a law firm or in-house legal position. Preferable, you have experience with construction law, EPC projects and related contracts, and / or experience with claims and disputes with respect to construction activities.

Contracts: You have some experience with drafting, review, and management of commercial contracts, ideally construction and procurement contracts.

Industry: Ideally, you have practical experience with the energy industry, e.g. from working in a renewable energy company (solar, bio or wind), or a renewable energy or construction department of a law firm.

Language skills: You have excellent written and verbal communication skills in the English language and experience with legal English in relation to drafting. The following languages are considered an advantage: German, Spanish, Polish, Portuguese, Danish or another European language.

International mindset: You have an international outlook and experience from working in an international environment.
