Job description

Nuuday is looking for a dedicated and professionally skilled lawyer to take on the position as Legal Counsel or Senior Legal Counsel (depending on level of seniority and relevant experience), reporting directly to General Counsel Julie Mühldorff Sigurd.

As Legal Counsel or Senior Legal Counsel, you will become part of the Legal & Compliance Team, which is a core function in Nuuday’s organization and provides legal support to the Board, the Management Team and various group functions on a variety of critical paths.

The Legal & Compliance Team currently consists of a team of 13 highly skilled and committed professionals (9 attorneys, 1 assistant attorney, 1 security consultant, 1 project manager and 1 law student), who provide best in class legal and regulatory support and pull in the same direction and support each other, recognizing collaboration as their strength. The Legal & Compliance Team is led by General Counsel Julie Mühldorff Sigurd, who is also Board Secretary.

You will act as a constructive advisor to both the commercial organization and the corporate Management Team, providing guidance and direction which reflect sound judgement and legal knowledge and expertise. You will be supporting within a wide range of legal areas, including within IT and technology law, corporate governance, marketing law and corporate law, IP law and general contract law. You may also be supporting within competition law. In undertaking such tasks, you will interact with a variety of internal as well as external stakeholders.

You will be working from the offices at the Nuuday Head Quarter in central Copenhagen.

Responsibilities

In the role as Legal Counsel or Senior Legal Counsel, you will play an essential role in driving the legal efforts in Nuuday.

Your main responsibilities will be the following:

  • Drafting, negotiating and advising in relation to various IT, telco and technology contracts, such as outsourcing contracts, reseller agreements, SaaS, PaaS and IaaS contracts, communications and network agreements and licensing agreements, as well as other commercial contracts.
  • Advising in relation to various large purchase projects within relevant product areas (e.g., television or telecommunication), including drafting and negotiating the relevant documentation.
  • Generally, advising and supporting the business within a variety of commercial legal areas.
  • Managing contractual claims and disputes.
  • Potentially (depending on your expertise and interests), advising in relation to competition law and handling competition law cases in cooperation with external legal counsels.
  • Generally, advising on and responding to ad-hoc requests and queries from various stakeholders across the different business units and providing business oriented legal solutions to complex and novel problems in a fast-moving environment, which allows the business to progress without exposing the company to unacceptable risks.

Your Title: Legal Counsel or Senior Legal Counsel, Legal & Compliance Team

Ideal experience

Education: You are a qualified lawyer (cand.jur. or cand.merc.jur.)  with a strong academic legal background combined with not less than 3 (and potentially several more) years of practical experience within relevant legal areas, preferable from a commercial environment such as a law firm and/or a group function in a larger private company.

Legal Specialisation: You have competences within corporate and commercial law. You have solid contract law experience and are experienced in structuring, preparing, and negotiating terms and conditions of different types of commercial contracts and in advising on transaction structures. You may also have experience with M&A transactions or other transactional projects. Preferable (but not necessarily), you have some knowledge of either IT/technology law or competition law.

Language skills: You have excellent written and verbal communication skills in the Danish and English languages.

Cooperation: You have a team-oriented mind-set and a strong sense of collaborative efforts and pulling as a team.

Communication: You have strong communication and interpersonal skills with the ability to keep things simple by finding the right balance between important details and clear communication.
