BAVARIAN NORDIC – Senior Legal Counsel – POSITION FILLED

Job Description

To join the journey of becoming one of the largest pure-play vaccine companies in the world BN is now looking to fill a position as Senior Legal Counsel in its Legal Team in the Legal, Compliance & IP Department. As Senior Legal Counsel you will become part of a global and fully integrated vaccine company committed to improving and saving lives through innovative vaccines.

The key focus of the role is to provide high-quality legal advice in a range of commercial matters, e.g. relating to a wide range of commercial contracts, and you will additionally be responsible for managing the group’s insurance activities and liaising with business representatives, reporting to management, and instructing BN’s external insurance broker in relation to many of these activities.

Legal team

The Legal, Compliance & IP Department is led from Denmark with additional team members located in the US and Germany. The total team consists of 16 professionals divided into 3 main teams; Legal, Compliance & IP. The Legal, Compliance, and IP teams are each led by a functional manager, who reports to the General Counsel, Christian Vilstrup. You will be joining the Legal Team presently consisting of a Senior Legal Counsel and a Legal Counsel who report to Legal Director Troels Winkelmann. The Legal Team handles Bavarian Nordic’s legal, contractual, and corporate matters as well as insurance matters on a global scale. Core compliance and IP matters are handled out of the Compliance & IP Teams.

The Legal & Compliance Teams are based in Bavarian Nordic’s headquarters in Hellerup together with management and most other corporate functions (approx. 150 persons).

Areas of Responsibilities

As Senior Legal Counsel at Bavarian Nordic, you can expect to work closely with the entire business and provide legal advice in many different types of matters. Some of your main responsibilities will include:

  • Drafting, reviewing, and negotiating a wide range of commercial and other types of contracts, e.g. distribution agreements, wholesaler agreements, tender contracts, service agreements, consultancy agreements, R&D agreements, clinical trial agreements, CDMO agreements, various commercial and other types of contracts
  • Managing the BN group’s insurance activities, including maintaining an appropriate insurance portfolio and setup, and handling various day-to-day and ad hoc insurance matters, all in collaboration with BN’s external insurance broker, e.g.:
  • Reviewing and commenting on Insurance Policy/Philosophy & Stewardship Report and revision of wording of insurance policies.
  • Ensuring proper insurance coverage concerning one-off activities such as construction work, certain third-party vendors with high risk, business interruption risks, M&A, etc., and addressing claims concerning insurances.
  • Liaising with BN’s other corporate functions and reporting to management about insurance matters.

In addition, you will also:

  • Advise BN’s global business units and corporate functions on day-to-day and ad hoc legal matters in the commercial legal area.
  • Provide legal advice and support and negotiate key contracts in connection with business development (M&A), partnerships, and licensing activities.
  • Together with the rest of the legal team support the organization with ad hoc legal support in other legal areas, e.g. corporate law, incentive programs, stock exchange law, real estate law, and HR law (in cooperation with external legal counsel where required).

Reporting and Title

Reporting to: You will report to Legal Director Troels Winkelmann and have close collaboration with the rest of the Legal Department as well as other internal and external stakeholders.

Title: Senior Legal Counsel.

Ideal Experience

Education: Master of laws degree (cand.jur. or cand.merc.jur.).

Work experience: Minimum7 years of post-graduate work experience preferably from the pharmaceutical industry or a law firm.

Legal specialization: You have strong experience drafting, reviewing, and negotiating contracts and ideally also experience with insurance matters.

Pharma industry: Practical experience in the pharma industry either as an in-house lawyer or external advisor in a law firm is an advantage.

International: Experience with working in an international environment and proficiency in English as this is the language in which BN communicates, internally as well as externally.
